Adding to the complexity is the need to balance financial constraints with growing expectations of tailored end-user experiences, on-demand services, and more sustainable and efficient outcomes. All intellectual property (IP) rights existing at the time of the hackathon event remain vested in the owning party. Any intellectual property created by the hackathon teams during the hackathon will be owned by the teams, however the teams grant Downer (including Spotless and its related entities) a licence to use the IP and the exclusive right to take steps to commercialise the hackathon ideas for a period of 12 months after the hackathon event ends (7 September 2018). If Downer (including Spotless and its related entities) do not take steps to commercialise the hackathon ideas within this period, the hackathon teams may commercialise the product how they wish. Downer (including Spotless and its related entities) reserve the right to work with the hackathon teams in commercialising the hackathon ideas upon their discretion.
